Welcome to Elm Health. These Terms and Conditions ("Terms") govern your access to and use of the Elm Health website, patient portal, telehealth services, and related offerings (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years of age and reside in a state where Elm Health's services are available. By using the Services, you represent and warrant that all information you provide is accurate, complete, and current.
2. Telehealth Services
Elm Health facilitates access to independent licensed healthcare providers who evaluate patients and determine, in their professional judgment, whether treatment is appropriate.
Submitting a medical intake form, completing a consultation, or making a payment does not guarantee that a prescription will be issued or that treatment will be approved.
Healthcare providers retain sole discretion regarding diagnosis, treatment recommendations, prescriptions, and ongoing care.
3. Prescription Fulfillment
If approved by a licensed healthcare provider, prescriptions may be transmitted to a licensed pharmacy for fulfillment.
Elm Health does not manufacture, dispense, or ship medications and is not responsible for pharmacy inventory levels, shipping delays, carrier delays, or pharmacy fulfillment timelines.
Prescription medications may only be dispensed pursuant to a valid prescription and applicable law.
4. Subscription Billing and Recurring Charges
Certain treatment plans are offered on a recurring subscription basis.
By enrolling in a subscription plan, you authorize Elm Health to charge your payment method automatically on a recurring basis according to the pricing and billing schedule disclosed during enrollment.
Subscription charges may occur prior to shipment to allow sufficient time for provider review, prescription processing, pharmacy fulfillment, and shipment preparation.
You are responsible for maintaining a valid payment method on file.
5. Cancellation Policy
You may cancel your subscription at any time before your scheduled rebill date.
Cancellation requests received after a subscription charge has been processed may not prevent the current order from entering pharmacy fulfillment.
If an order has already been transmitted to the pharmacy, the current order cannot be canceled. Future recurring charges and shipments will be canceled upon request.
6. Refund Policy
Prescription medications are non-returnable and non-refundable once an order has been transmitted to the pharmacy for fulfillment.
If a cancellation request is received after the rebill date and the order has already entered pharmacy processing, the current order is not eligible for a refund.
Future recurring charges will be canceled upon request.
Additional refund policies may apply where required by law.
7. Patient Responsibilities
You agree to provide accurate, complete, and truthful medical information.
You agree to promptly notify your healthcare provider of any changes to your health status, medications, allergies, or medical conditions.
Failure to provide accurate information may affect your eligibility for treatment and may result in termination of Services.
8. No Medical Emergency Services
Elm Health's Services are not intended for medical emergencies.
If you believe you are experiencing a medical emergency, call 911 immediately or seek emergency medical care.
9. Intellectual Property
All content, trademarks, logos, graphics, text, software, and other materials on the Services are owned by Elm Health or its licensors and are protected by applicable intellectual property laws.
No content may be copied, reproduced, distributed, or used without prior written consent.
10. Limitation of Liability
To the fullest extent permitted by law, Elm Health and its affiliates, officers, directors, employees, contractors, agents, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to the use of the Services.
Elm Health's total liability shall not exceed the amount paid by the patient for the applicable Services giving rise to the claim.
11. Chargebacks and Payment Disputes
By purchasing Services through Elm Health, you acknowledge and agree that recurring billing authorization, order records, pharmacy fulfillment records, shipment records, and communications may be used to verify authorized transactions.
Patients agree to contact Elm Health regarding billing concerns before initiating a payment dispute or chargeback.
12. Arbitration Agreement
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration on an individual basis.
The parties waive any right to participate in a class action, class arbitration, or representative proceeding.
Arbitration shall be conducted in accordance with applicable arbitration rules and governed by the laws of the State of Michigan.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict of law principles.
14. Modifications
Elm Health reserves the right to modify these Terms at any time. Updated Terms will be posted on the website with a revised effective date.
Continued use of the Services following any changes constitutes acceptance of the updated Terms.
